Do not publish live until a licensed attorney has reviewed them, tailored the dispute-resolution and liability sections to the entity's actual state of incorporation and risk tolerance, and filled in the bracketed placeholders. The Health Panel entity paperwork and the testing partner agreement are both still being formalized, and these terms should be finalized alongside that, not before it.

1. Acceptance of these terms

By accessing or using [healthpanel.com] (the "Site") or placing an order, you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Site.

2. What Health Panel is, and is not

Health Panel is a marketing and ordering platform. We are not a laboratory, a clinic, or a healthcare provider, and we do not employ or supervise the physicians who review your results. When you place an order, we relay it to our independent testing partner network, which operates the clinics, performs the blood draw, processes the panel, and provides physician review of your results. Health Panel's role ends at marketing, checkout, order relay, and customer communication.

3. Eligibility

You must be at least 18 years old and a resident of a state where our testing partner's network operates to use the Site and place an order. By placing an order, you represent that the information you provide (including your name, date of birth, and address) is accurate and that it is you being tested, not a third party, unless a caregiver or guardian arrangement has been separately and explicitly agreed with our testing partner.

4. Medical disclaimer

Health Panel does not provide medical advice, diagnosis, or treatment. The Site and any content on it, including any educational content, is for general informational purposes only and is not a substitute for professional medical advice. Always talk to a qualified physician about your specific health situation before making any decisions based on information from this Site. Your test results will be reviewed by a licensed physician affiliated with our testing partner, and any diagnosis, treatment recommendation, or medical guidance comes from that physician, not from Health Panel.

If you are experiencing a medical emergency, call 911 or go to the nearest emergency room immediately. Do not use this Site for urgent or emergency medical needs.

5. Orders, pricing, and payment

• All prices are listed in U.S. dollars and are subject to change until your order is placed.
• Payment is processed through our third-party payment processor (Stripe). By placing an order, you authorize us to charge your payment method for the amount shown at checkout, including applicable taxes.
• We reserve the right to refuse or cancel any order, including for suspected fraud, pricing errors, or if our testing partner cannot service your location.

Insert the refund and cancellation policy once finalized, for example whether orders are refundable before or after relay to the testing partner, and before or after the clinic visit.

6. Promo codes

• Promo codes are provided by approved partners and may be discontinued, modified, or invalidated at any time.
• Only one promo code may be applied per order. Codes cannot be combined or stacked.
• Promo codes have no cash value and cannot be redeemed for cash.

7. Subscriptions

• If you select a subscription plan, you authorize us to automatically charge your payment method on the selected cadence (monthly, quarterly, or as otherwise offered) until you cancel.
• Each subscription renewal is a full new order, including a new blood draw at a partner clinic. It is not a lighter-weight recurring shipment.
• You may cancel your subscription at any time through your account page. Cancellation takes effect for the next billing cycle and does not refund the current cycle unless otherwise required by law.
• If a renewal payment fails, we will attempt to retry the charge a limited number of times. If payment continues to fail, your subscription will be automatically canceled.

8. Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly of any unauthorized use.

9. Third-party services

The Site and order fulfillment depend on third parties, including our testing partner network and our payment processor. We are not responsible for the acts, omissions, availability, or performance of these independent third parties, including clinic scheduling, the blood draw itself, or the medical judgment of any physician reviewing your results. Your relationship with the physician who reviews your results, and with the clinic performing your draw, is separate from your relationship with Health Panel.

10. Results

Health Panel does not host, store, or display your lab results. Once your results are ready, we will notify you and direct you to our testing partner's portal, where you can view and download your results and any associated physician commentary.

11. Prohibited conduct

You agree not to: provide false information, including a false identity or date of birth, when placing an order; use the Site for any unlawful purpose; attempt to interfere with the Site's operation or security; or resell or misuse promo codes outside their intended partner program.

12. Intellectual property

All content on the Site, including branding, text, graphics, and design, is owned by Health Panel or its licensors and may not be used without permission, except as necessary to place and manage your order.

13. Disclaimer of warranties

THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, TO THE FULLEST EXTENT PERMITTED BY LAW.

14. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, HEALTH PANEL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SITE OR ANY ORDER, INCLUDING ANY ACTS OR OMISSIONS OF OUR TESTING PARTNER NETWORK.

This clause and any liability cap amount need attorney input specific to the health-testing category and your insurance coverage.

15. Indemnification

You agree to indemnify and hold Health Panel harmless from claims arising out of your misuse of the Site or violation of these Terms.

16. Dispute resolution and governing law

Placeholder. Arbitration clauses, class-action waivers, and choice-of-law and venue selections have real strategic tradeoffs and must be decided with an attorney based on the entity's state of incorporation and risk posture, not defaulted to a generic clause here.

17. Changes to these terms

We may update these Terms from time to time. Continued use of the Site after changes take effect constitutes acceptance of the updated Terms.

18. Termination

We may suspend or terminate your access to the Site at our discretion, including for violation of these Terms.
