Terms of Service

1. Acceptance of these terms

By accessing or using healthpanel.org (the "Site") or placing an order, you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Site.

2. What Health Panel is, and is not

Health Panel is a marketing and ordering platform operated by Health Panel Inc., a New York corporation incorporated on September 4, 2026 ("Health Panel," "we," "us," or "our"). We are not a laboratory, a clinic, or a healthcare provider, and we do not employ or supervise the physicians in our testing partner's network. When you place an order, we relay it to our independent testing partner network. A licensed physician in that network authorizes the lab order, and the laboratory performs the blood draw and processes the panel. Health Panel's role is marketing, checkout, order relay, customer communication, and making your results available to you.

3. Eligibility

You must be at least 18 years old and a resident of a state where our testing partner's network operates to use the Site and place an order. By placing an order, you represent that the information you provide (including your name, date of birth, and address) is accurate and that it is you being tested, not a third party, unless a caregiver or guardian arrangement has been separately and explicitly agreed with our testing partner.

4. Medical disclaimer

Health Panel does not provide medical advice, diagnosis, or treatment. The Site and any content on it, including any educational content, is for general informational purposes only and is not a substitute for professional medical advice. Always talk to a qualified physician about your specific health situation before making any decisions based on information from this Site. Your lab order is authorized by a licensed physician affiliated with our testing partner. Health Panel does not interpret your results, does not add scores or grades to them, and does not provide any diagnosis, treatment recommendation, or medical guidance. Any such guidance must come from a qualified clinician of your own.

If you are experiencing a medical emergency, call 911 or go to the nearest emergency room immediately. Do not use this Site for urgent or emergency medical needs.

5. Orders, pricing, and payment

  • All prices are listed in U.S. dollars and are subject to change until your order is placed.
  • Payment is processed through our third-party payment processor (Stripe). By placing an order, you authorize us to charge your payment method for the amount shown at checkout, including applicable taxes.
  • We reserve the right to refuse or cancel any order, including for suspected fraud, pricing errors, or if our testing partner cannot service your location.

Orders are fully refundable until they are relayed to our testing partner. Once an order has been relayed, it is non-refundable, because the partner has begun intake and the requisition has been issued. This is the same policy you agree to at checkout, and it applies whether or not you have yet been to a partner lab location for your blood draw.

6. Promo codes

  • Promo codes are provided by approved partners and may be discontinued, modified, or invalidated at any time.
  • Only one promo code may be applied per order. Codes cannot be combined or stacked.
  • Promo codes have no cash value and cannot be redeemed for cash.

7. Subscriptions

  • If you select a subscription plan, you authorize us to automatically charge your payment method on the selected cadence (monthly, quarterly, or as otherwise offered) until you cancel.
  • Each subscription renewal is a full new order, including a new blood draw at a partner lab location. It is not a lighter-weight recurring shipment.
  • You may cancel your subscription at any time through your account page. Cancellation takes effect for the next billing cycle and does not refund the current cycle unless otherwise required by law.
  • If a renewal payment fails, we will attempt to retry the charge a limited number of times. If payment continues to fail, your subscription will be automatically canceled.

8. Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly of any unauthorized use.

9. Third-party services

The Site and order fulfillment depend on third parties, including our testing partner network and our payment processor. We are not responsible for the acts, omissions, availability, or performance of these independent third parties, including the blood draw itself, the laboratory analysis, or the medical judgment of any physician authorizing your order. Your relationship with that physician, and with the laboratory performing your draw, is separate from your relationship with Health Panel.

10. Results

When your results are ready, Health Panel receives them from the laboratory, stores them in encrypted form, and makes them available to you when you sign in to your account. We notify you by email that results are ready. That email deliberately contains no values and does not name the panel, because email is not a secured channel.

We show you what the laboratory reported: the values, the units, the laboratory's own reference ranges, and the laboratory's own flags, together with the laboratory's report. Health Panel does not interpret, score, or grade your results and adds no commentary of its own.

10.1 What changed on this section, and which version applies to your order

Until September 3, 2026, this section said the opposite, and those words are kept here rather than deleted because they are what earlier customers agreed to. The previous version read:

"Health Panel does not host, store, or display your lab results. Once your results are ready, we will notify you and direct you to our testing partner's portal, where you can view and download your results and any associated physician commentary."

If you placed an order before September 3, 2026, that earlier promise is the one you agreed to and it continues to govern your order until you tell us otherwise. Before we store or display results for any such order, we will ask you to read this updated section and accept it. If you decline, we will not store or display your results here, and we will tell you how to obtain them another way. You do not lose anything by declining and you are not charged again either way.

10.2 The two consent instruments are not the same instrument

Receiving, storing and displaying your lab results is something Health Panel does on behalf of, and under written agreement with, our testing partner. It is separate from the HIPAA authorization you agree to at checkout, which covers what is needed to process your lab order and is described in the Privacy Policy.

11. Prohibited conduct

You agree not to: provide false information, including a false identity or date of birth, when placing an order; use the Site for any unlawful purpose; attempt to interfere with the Site's operation or security; or resell or misuse promo codes outside their intended partner program.

12. Intellectual property

All content on the Site, including branding, text, graphics, and design, is owned by Health Panel or its licensors and may not be used without permission, except as necessary to place and manage your order.

13. Disclaimer of warranties

THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, TO THE FULLEST EXTENT PERMITTED BY LAW.

14. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, HEALTH PANEL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SITE OR ANY ORDER, INCLUDING ANY ACTS OR OMISSIONS OF OUR TESTING PARTNER NETWORK.

TO THE FULLEST EXTENT PERMITTED BY LAW, HEALTH PANEL'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SITE OR ANY ORDER WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO HEALTH PANEL IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS.

Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable law. That includes liability for fraud, for gross negligence or willful misconduct, and for death or personal injury caused by negligence. Some states do not allow the exclusion or limitation of incidental or consequential damages, so the exclusions above may not apply to you in full.

15. Indemnification

You agree to indemnify and hold Health Panel harmless from claims arising out of your misuse of the Site or violation of these Terms.

16. Dispute resolution and governing law

Please read this section carefully. It affects how any dispute between us is resolved, and it includes a waiver of class actions and a right for you to opt out.

Talk to us first. Before starting arbitration or any other formal proceeding, you agree to tell us what the problem is and give us a chance to fix it. Send a written description of the dispute and the relief you want to order@healthpanel.org. We will do the same if the dispute starts with us. Neither of us may begin a formal proceeding for 60 days after that notice, and many disputes are resolved in that window.

Binding individual arbitration. If the dispute is not resolved, you and Health Panel agree that it will be settled by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court, and that judgment on the award may be entered in any court with jurisdiction. The arbitration will be conducted in the county where you live or, at your choice, by telephone, video, or on written submissions only. The arbitrator decides all questions about the scope and enforceability of this section.

Small claims are excluded. Either of us may bring an individual claim in small claims court instead, if it qualifies.

No class or representative actions. You and Health Panel agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any class, consolidated, or representative proceeding. The arbitrator may not consolidate claims or preside over any form of representative proceeding. If this paragraph is found unenforceable as to a particular claim, that claim, and only that claim, is severed from arbitration and heard in court.

You can opt out of arbitration, and you have 30 days. If you do not want to be bound by the arbitration agreement and class waiver above, tell us in writing at order@healthpanel.org within 30 days of first accepting these Terms, including your name and the email address on your account. Opting out affects nothing else in these Terms and will not affect your orders or your account in any way.

Governing law and venue. These Terms and any dispute arising from them are governed by the laws of the State of New York, without regard to its conflict of laws rules. For any dispute not subject to arbitration, you and Health Panel consent to the exclusive jurisdiction of the state and federal courts located in New York, New York. Either of us may seek injunctive relief in any court of competent jurisdiction to protect intellectual property or confidential information.

17. Changes to these terms

We may update these Terms from time to time. Continued use of the Site after changes take effect constitutes acceptance of the updated Terms.

18. Termination

We may suspend or terminate your access to the Site at our discretion, including for violation of these Terms.
